Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully. By engaging the services of Vivexa Tech ("we," "us," or "our"), you ("the Client") agree to be bound by these Terms, which form a legally binding agreement between you and Vivexa Tech.

1. Definitions

"Services" refers to all work performed by Vivexa Tech, including but not limited to website design, development, hosting, UI/UX design, and SEO as detailed in the project proposal. "Project" refers to the specific scope of work agreed upon between Vivexa Tech and the Client.

2. Scope of Services

Vivexa Tech will provide the Services as outlined in the mutually agreed-upon project proposal or scope of work document. Any work requested by the Client that falls outside of this scope ("scope creep") will be considered an additional service and will be subject to a separate quotation and timeline adjustment.

3. Fees and Payment Terms

• Advance Payment: For our Business and Premium plans, a non-refundable 30% advance payment of the total project cost is required to secure project commencement. No advance is required for the Starter plan.
• Final Payment: The remaining 70% of the project fee is due upon completion of the project and prior to the final delivery or launch of the website. The website will not be made live until the final payment is received in full.
• Post-Launch Revisions: Revisions are included during the development phase. Once the project is approved and delivered, any subsequent changes will be chargeable at a rate of ₹600 per revision task. A revision task may include a single change or a batch of closely related minor adjustments.
• Renewal Fees: We provide one year of complimentary domain and hosting for applicable plans. From the second year, the following renewal fees apply:
  • Domain: The actual cost from the registrar plus a 5% service fee.
  • Hosting: A flat rate of ₹1299 per year.
  Clients will be notified of renewals 30 days in advance. Failure to pay renewal fees may lead to service suspension.
• Late Payments: Invoices for final payments or renewals are due within 15 days of receipt. A late fee of 1.5% per month may be applied to overdue balances.

4. Client Obligations

The Client agrees to provide all necessary content (text, images, branding materials) and feedback in a timely manner. Delays in providing these materials may result in a corresponding delay in the project timeline. If the Client is unresponsive for a period of 30 consecutive days, Vivexa Tech reserves the right to pause the project and may require a re-engagement fee to resume work.

5. Intellectual Property Rights

Upon receipt of full and final payment, Vivexa Tech grants the Client full ownership and copyright of the final website design and its visual elements. Vivexa Tech retains the right to display the completed project in our portfolio and marketing materials. Any third-party elements used in the project, such as premium plugins or stock photos, are subject to their own respective licenses, which will be transferred to the Client where applicable.

6. Confidentiality

Both parties agree to treat all information shared during the project as confidential. This includes business strategies, client data, and proprietary processes. This information will not be disclosed to any third party without prior written consent, except as required by law.

7. Termination

This agreement may be terminated by either party with 15 days written notice. If the Client terminates the agreement, the terms of our Refund & Cancellation Policy will apply. If Vivexa Tech terminates the agreement for reasons other than a Client breach, a proportional refund for uncompleted work will be provided.

8. Limitation of Liability

Vivexa Tech's total liability to the Client for any claim or damage arising from our Services is limited to the total amount paid by the Client for the specific Project. We are not liable for any indirect, incidental, or consequential damages, including loss of profits or business interruption.

9. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.

10. Amendments

Vivexa Tech reserves the right to update these Terms at any time. The "Last Updated" date at the top of this page will indicate when revisions were made. Continued use of our services after such changes constitutes acceptance of the new Terms.

Refund & Cancellation Policy

This policy outlines the terms for refunds and cancellations for services provided by Vivexa Tech.

1. Cancellation by Client

Our cancellation terms depend on the project plan and its status:

• Starter Plan: Since no advance payment is required, the Client may cancel the project at any time before work commences without financial penalty.
• Business & Premium Plans: These plans require a 30% advance payment to initiate the project.
  • If the Client chooses to cancel the project after work has commenced, Vivexa Tech will retain an amount equivalent to 20% of the total project value to cover administrative costs and work already performed.
  • The remaining portion of the advance payment (equivalent to 10% of the total project value) will be refunded to the Client within 15 business days.
  • Example: For a project valued at ₹20,000, the advance is ₹6,000 (30%). If cancelled, ₹4,000 (20%) is retained, and ₹2,000 (10%) is refunded.

2. Non-refundable Services

The following fees are strictly non-refundable under any circumstances:

• Third-Party Costs: Fees paid for domain name registration, web hosting, and any third-party software or licenses purchased on behalf of the Client.
• Completed Work: Fees for services already rendered and approved by the Client, including post-launch maintenance and revision tasks.

3. How to Request a Cancellation and Refund

All cancellation requests must be submitted in writing to contact@vivexatech.online. The request must include the project name and a reason for cancellation. Eligible refunds will be processed via the original method of payment where possible.
